Sell-Side Advisory

Prior to launch of a sell-side assignment, NorthWinds will spend a significant amount of time with its clients to understand their overall objectives and undertake extensive due diligence of the company or particular project being sold and the industry it participates in. Strengths and weaknesses are assessed as well as potential opportunities and threats to a successful transaction. NorthWinds will then prepare a confidential information memorandum with the client outlining an overview of the company or project, the transaction, key investment considerations and a financial overview. Buy-side Advisory

Buy-side services include strategic analysis, due diligence, target identification, negotiation and transaction execution. During the strategic alternatives phase, NorthWinds works closely with management to properly align the goals of a potential transaction and to develop a profile of the optimal acquisition target. The due diligence phase serves as an information gathering process whereby NorthWinds gathers confidential company and industry information. Based on this information and NorthWinds’ industry and capital markets knowledge, attractive targets are identified and approached. NorthWinds will also assist in negotiating key terms and conditions of the purchase and can arrange financing to fund the transaction
